BY-LAWS

In order to carry out the provisions of the Constitution, the following By-Laws are adopted for the conduct and administration of the business of the Winter Haven Senior Softball Club (WHSSC):

1. Payment of expenses: No Board Member shall serve with pay. However, financial reimbursement shall be made, when properly receipted, for any expense incurred and paid by a Director in the conduct of WHSSC business.

2. Fees: Reasonable fees shall be charged and collected from each member in an amount to be determined by the Board of Directors (BOD), taking into consideration the cost of league play, administration expenses, and such other expenses related to each members participation as the BOD determines from time to time to be appropriate. Such fees will be levied on an annual basis.

3. Rules of play: The WHSSC shall play under the rules established for slow pitch softball by the Amateur Softball Association (ASA), except for those established by the WHSSC BOD.

4. Team Rosters:
A.
The BOD shall establish a roster of players for each softball season and may establish a roster limit for each team. Players remaining after each roster limit is reached will be placed on a "waiting list" until such time as a roster opening becomes available.

B. The BOD shall be responsible for determining player eligibility, based on age and payment criteria, for each season. The BOD and team managers shall be responsible for the assignment of players to team rosters and shall be done in a manner approved by the BOD for each softball season.

C. If a rostered player is present at the start of a softball game, he must be placed in the continuous batting order of his team, but may be used defensively in whatever manner, if any, deemed appropriate in the sole discretion of the team manager.

5. Registration Fees: Fees for player participation in each season must be paid to the WHSSC by the designated date set by the BOD. Players on a "waiting list" shall pay their softball season fees at the time they are assigned to a team, but in any event prior to participation in any game.

6. Organizing New Teams: The BOD shall determine the method and manner of assignment of players to new teams, using as their primary criteria the competitive balance of the league. The team managers and the BOD will implement player assignments.

7. Uniforms: Every effort will be made to have uniform identity for each softball team, attempting to have a shirt in each teams name and a league cap. No member shall be required to purchase more than a cap and shirt. The Commissioner will approve team colors, style cap, and shirts to avoid duplication or confusion.

8. Discipline: It is expected that all WHSSC members will conduct themselves at all times in accordance with the highest standard of courtesy, integrity, and sportsmanship. Players who are ejected from a game or violate these standards of conduct are subject to disciplinary action by the BOD. Any player who is ejected from a game will be suspended from playing in the next scheduled game for his team. If a player is ejected a second time within the same softball season, he will go before the BOD who will determine the period of suspension. The BOD will have the authority to ban a player from participation in any WHHSC softball games or activities. Any player ejected from a game must immediately leave the "DiamondPlex" (or other park complex) and may not return until his suspension has been served in full.

When a player has not been ejected from a softball game, but has otherwise displayed inappropriate conduct, he will receive a "verbal" warning for the first incident. A "written" warning will be issued for the second incident. A third incident will result in dismissal from the WHSSC. Such actions will be carried out in a manner determined by the BOD upon review of each incident. In the event the misconduct warrant more severe action in the sole opinion of a majority of the BOD, the BOD reserves the right to determine and carry out appropriate disciplinary action regarding that player.

9. Amendments: The Constitution and By-Laws may be amended by a two-thirds vote of the BOD, provided there has been a reasonable period of time (not less than seven days nor more than 60 days) for consideration of the amendment.
